Private Label Reseller Agreement

Parties:
This Agreement is entered into between Juz Technologies Private. Limited. (“Company”) and the purchaser of the AlgoGo White Label License (“Reseller”).
1. Grant of License
The Company hereby grants the Reseller a non-exclusive, non-transferable, and non-sublicensable license to privately label, market, and resell the AlgoGo trading bot under the Reseller’s own brand.
2. Permitted Use
The Reseller is allowed to:
- Create and distribute unlimited license activations or bots for their end users.
- Sell these licenses under their own branding or label.
- Market the product as their own, provided it adheres to the terms below.
3. Restrictions
The Reseller must not:
- Sell, distribute, disclose, or circulate the source code of the AlgoGo trading bot in any form.
- Allow any third party to modify, reverse engineer, or replicate the source code.
- White-label for other resellers or third-party commercial sellers (sub-reselling is prohibited).
- Use the bot or licenses to promote harmful, illegal, or misleading content.
4. Intellectual Property
All intellectual property rights, including but not limited to the source code, software design, documentation, and trade names, remain the sole property of the Company. This Agreement does not constitute a transfer of ownership.
5. Confidentiality
The Reseller agrees to keep all proprietary elements of the AlgoGo bot confidential, including source code, documentation, and licensing structure.
6. Support & Maintenance
The Company will provide:
- Setup documentation for client onboarding.
- Technical support for the Reseller only (not for their end users).
- Optional marketing materials if included in the reseller package.
7. Term & Termination
This Agreement shall remain in effect unless terminated by either party in writing. The Company reserves the right to terminate this agreement immediately if the Reseller breaches any of the terms, particularly those related to source code protection.
8. Indemnity
The Reseller agrees to indemnify and hold harmless the Company against any claims, damages, or liabilities arising from improper use, marketing, or resale of the licensed bot.
9. Governing Law
This Agreement shall be governed by the laws of Singapore, and any disputes shall be resolved through arbitration under the rules of the Singapore International Arbitration Centre (SIAC).
10. Acknowledgment
By purchasing and using the AlgoGo White Label License, the Reseller agrees to all terms and conditions outlined in this Agreement.
